Terms of Service

1. Acceptance of Terms

By creating an account or using Kwotly (the "Service"), operated by Kwotly ("we", "us", "our"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Kwotly is a Software-as-a-Service (SaaS) platform that provides contractors and tradespeople with AI-powered quote generation, invoicing, client management, project management, and payment processing tools.

3. Accounts

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your password and for all activities under your account. You must notify us immediately of any unauthorized use.

You must be at least 18 years old and have legal authority to operate a business to use the Service.

4. Subscription Plans & Billing

Kwotly offers multiple subscription tiers (Free, Pro, Business). Paid plans are billed monthly in advance via Stripe. You authorize us to charge your payment method for all fees incurred.

Subscriptions auto-renew until cancelled. You may cancel at any time from your billing settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.

We reserve the right to change pricing with 30 days' notice.

5. AI Services & Third-Party APIs

The Service uses third-party AI providers (Anthropic, OpenAI, Google) to generate quotes and analyze photos. AI-generated content may contain inaccuracies. You are solely responsible for reviewing and verifying all generated content before sending to clients.

If you connect your own API key from a third-party provider, you are responsible for all usage costs incurred with that provider. Kwotly is not liable for any charges billed by third-party AI providers.

6. Your Content

You retain all ownership rights to content you upload (photos, quotes, client information, business data). You grant Kwotly a limited license to process, store, and display your content solely to provide the Service.

You are responsible for obtaining consent from clients before uploading their personal information (names, emails, addresses) to the Service.

7. Prohibited Uses

You may not use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on any intellectual property rights
  • Transmit malicious code or attempt to compromise the Service
  • Send spam or unsolicited communications
  • Resell or redistribute the Service without written permission
  • Use AI features to generate fraudulent quotes or misrepresent services

8. Payments from Clients

When your clients pay invoices through Kwotly, payments are processed by Stripe and deposited to your Stripe account. Kwotly does not hold funds on your behalf. Stripe's fees apply to all transactions.

Disputes, chargebacks, and refunds between you and your clients are your responsibility.

8a. Marketplace — Acceptance Fees & Anti-Bypass (Contractors)

Kwotly operates a marketplace that matches homeowners with licensed contractors. When a homeowner dispatches a project to your trade and ZIP, you may pay an acceptance fee to unlock the homeowner's contact details and bid on the project. Acceptance fees are platform fees retained by Kwotly, separate from any work-completion payment between you and the homeowner.

By paying an acceptance fee and accepting a marketplace lead, you agree that:

  • The homeowner's contact information you receive is licensed for the specific project shown to you. You may not use it to solicit unrelated future work, build a private contact list, or share it with anyone outside Kwotly.
  • You will not encourage, request, or accept the homeowner's offer to conduct the transaction off-platform (cash deal, direct invoice, etc.) in order to bypass Kwotly's payment rails.
  • If a marketplace-introduced homeowner becomes a long-term client, any follow-on work for the same scope or property within 12 months of the introduction must be processed through Kwotly.
  • Bypass attempts (off-platform transactions on a Kwotly-introduced lead, contact-list scraping, soliciting off-platform follow-on work) are grounds for immediate account suspension, forfeiture of all unredeemed acceptance fees on pending leads, and removal from the marketplace.

Acceptance fees are refundable in full if you do not receive the homeowner's response within 30 days of payment, or if the homeowner cancels the project before any work begins. Refunds are processed to the original payment method within 7-10 business days of approval. Refund requests submitted in bad faith (after work began, after off-platform contact was solicited, etc.) are not eligible.

7-day quote-send commitment.

Paying the acceptance fee creates a commitment to send the homeowner a signable Quote (via Kwotly) within 7 days of payment. Kwotly auto-drafts the Quote from the homeowner's scope at the moment your payment clears so the only remaining work on your side is reviewing pricing, accepting the contractor terms, and clicking Send. We send a reminder on day 5. If no Quote has been sent by the end of day 7, your acceptance fee is automatically refunded to your original payment method, the homeowner is notified that you did not follow through, and the lead drops off your inbox. Repeated misses (3+ within any rolling 90-day window) result in temporary removal from the matched-pro pool pending admin review.

All marketplace deposit and final payments must flow through Kwotly's Stripe Connect rails. The deposit you collect via the signed Quote is held by Stripe and released to your connected account on the standard Stripe payout schedule — Kwotly takes no commission on the deposit or the project value beyond the acceptance fee already paid. Soliciting payment off-platform on a Kwotly-introduced lead is a bypass under Section 8a above.

9. Quote & Invoice Accuracy

Kwotly provides tools to help you create quotes and invoices, but we do not guarantee the accuracy of pricing, material availability, or labor estimates. You are solely responsible for the contractual agreements you enter into with your clients.

10. Affiliate Links

The Service may display product links to third-party retailers (Home Depot, Lowe's, Amazon). Kwotly may earn affiliate commissions from purchases made through these links. This does not affect the price you or your client pay.

11. Data Retention & Deletion

Your data is retained for the duration of your subscription. Upon account deletion, your data will be permanently removed within 30 days, except where retention is required by law (e.g., tax records).

You may export your data at any time via Settings > Data.

12. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance, upgrades, or changes to the Service without prior notice. We are not liable for any downtime or data loss resulting from service interruptions.

13. Limitation of Liability

To the maximum extent permitted by law, Kwotly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid to Kwotly in the 12 months preceding the claim.

14. Termination

We may suspend or terminate your account for violations of these Terms, failure to pay, or abusive behavior. You may terminate your account at any time from your settings.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Travis County, Texas. Consumer protection laws of your state of residence may also apply.
